SPOTO Terms & Conditions

These Terms & Conditions ("Terms") govern access to and use of the SPOTO website, mobile applications and related services (together, the "Platform"), operated by Transkwik Private Limited. By creating an account, registering a Team, organising a Tournament, officiating a Match, sponsoring an event, or otherwise using the Platform, you agree to be bound by these Terms.

SPOTO is owned and operated by Transkwik Private Limited, a company incorporated in India. Registered Office: 1-83 Maddulaparva, NTR District, Andhra Pradesh – 521215, India. "User" means any person who accesses or uses the Platform, including Players, Team representatives, Partners, Referees, Sponsors and Audience Members.

"Partner" means an individual or organisation that creates and organises a Tournament using the Platform.

"Tournament" means a sporting competition listed, organised or managed through the Platform. "Match" means an individual fixture within a Tournament.

"Participation Fee" means any fee a Team or Player pays to register for a Tournament. "Prize Money" means any cash or other prize offered for a Tournament, as set by the Partner and displayed on the Platform.

"Prediction" means a free, no-stake match-outcome prediction made by an Audience Member through the Platform's promotional prediction feature. "Tip" means a voluntary payment made by an Audience Member to a Player or Team.

SPOTO provides a grassroots sports ecosystem that connects Players with Teams, Teams with Tournaments, Partners with the tools to organise and run Tournaments, Referees with Match assignments, Sponsors with sponsorship opportunities, and an Audience with live scores, free predictions and the ability to tip Players or Teams. SPOTO is a technology platform that facilitates these connections; it does not itself organise, own or guarantee the outcome of any Tournament or Match unless expressly stated.

You must be able to form a legally binding contract under applicable Indian law to create an account. Where a Platform feature has a minimum age requirement (for example, participation in a paid Tournament or receipt of a payment), that requirement will be displayed at the relevant step and you confirm you meet it.

You agree to provide accurate, current and complete information when registering and to keep this information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us promptly at info@spotoapp.in if you suspect unauthorised use of your account.

As a Player, you may create a profile, discover and join Teams, register for Tournaments, and track your match history and statistics. You are responsible for the accuracy of the information in your Player profile and for complying with the rules of any Tournament you enter.

A Team is represented on the Platform by one or more authorised administrators who manage the Team's roster, registrations and communications. The Team administrator is responsible for ensuring that all listed Players are eligible to participate and have agreed to these Terms.

Registering a Team or Player for a Tournament constitutes agreement to that Tournament's specific rules, format, schedule and eligibility criteria, as set by the Partner and displayed on the Tournament page, in addition to these Terms. The Partner, not SPOTO, is responsible for setting and enforcing Tournament-specific rules.

Where a Tournament requires a Participation Fee, the amount, due date and payment method will be shown before you confirm registration. Participation Fees are collected on behalf of the Partner through the Platform's payment processing. Refund treatment of Participation Fees is set out in the Refund & Cancellation Policy.

Partners use the Platform to create, promote and manage Tournaments. By creating a Tournament, you represent that you have the right and authority to organise the event, to set and collect any Participation Fee, and to offer any Prize Money you list.

Partners are responsible for the accuracy of Tournament listings (sport, venue, dates, fees, format, rules and Prize Money), for arranging the venue and any required permissions, for the safety of participants at the venue, and for timely communication of schedule or rule changes.

Partners are responsible for honouring the Prize Money and refund terms they publish for their Tournament, subject to the Refund & Cancellation Policy.

A Partner may cancel a Tournament before it begins, for reasons including insufficient registrations, venue unavailability, or circumstances beyond their control. Where a Tournament is cancelled, refund handling of any collected Participation Fees is described in the Refund & Cancellation Policy.

A Partner may postpone a Tournament or an individual Match due to weather, venue issues or other operational reasons. Registered Teams and Players will be notified of the revised schedule through the Platform where possible. Postponement does not, by itself, entitle a Team or Player to a refund unless the Tournament is subsequently cancelled.

Payments on the Platform (Participation Fees, Tips, and eligible payouts) are processed through third-party, RBI-regulated payment gateway providers. SPOTO does not store your full card or bank credentials; these are handled directly by the payment provider in accordance with their own security standards.

If a payment fails after an amount has been debited from your account, the amount is typically reversed by the payment provider or your bank within their standard processing timelines. If a debited amount is not reversed within a reasonable period, contact info@spotoapp.in with your transaction reference so it can be investigated.

The circumstances in which Participation Fees, Tips or other payments are refundable are set out in full in the separate Refund & Cancellation Policy, which forms part of these Terms.

Where a Tournament uses the Platform's automated fixture and bracket generation, fixtures are generated based on the format, number of registered Teams and any seeding rules configured by the Partner. SPOTO provides the fixture-generation tooling; the Partner is responsible for confirming and publishing the final fixture.

SPOTO expects Partners, Referees, Teams and Players to conduct Tournaments and Matches fairly and in accordance with the published rules. Manipulation of fixtures, results, or match outcomes for personal or financial gain is prohibited and may result in account suspension or termination.

Live scores and match updates displayed on the Platform are entered by the Referee, Partner or an authorised scorer and are provided on an as-reported basis. SPOTO does not independently verify each live update in real time and is not responsible for delays or entry errors, though it will assist in correcting confirmed errors where reported.

Final Match and Tournament results are confirmed by the Referee or Partner. Disputes about a result should first be raised with the Partner through the Platform; SPOTO may assist in facilitating communication but the Partner's confirmed result governs fixture progression and Prize Money distribution.

Referees may create a profile describing their sport, experience and availability, and are discoverable by Partners seeking officials for a Match. Acceptance of a Match request creates a direct arrangement between the Referee and the Partner, facilitated through the Platform.

A Referee who accepts a Match request agrees to be present and to officiate at the confirmed date, time and venue. Cancellations should be made as early as possible through the Platform so the Partner can arrange a replacement.

Where a Match includes a Referee fee, the fee amount and payment timeline will be shown at the time the Referee accepts the assignment. Payments are processed after the Match is marked complete, subject to standard payment-provider processing timelines.

Referees are expected to officiate impartially, follow the rules of the relevant sport and Tournament, and report results and incidents accurately. Referees found to have manipulated a result or acted with bias may be removed from the Platform's Referee network.

Sponsors may fund all or part of a Tournament's Prize Money and/or purchase brand visibility (for example, Title Sponsor, Co-Sponsor or Player Award Sponsor placements) as described on the relevant Tournament or sponsorship page. Sponsorship arrangements are agreed between the Sponsor and the Partner, facilitated through the Platform.

The specific branding and visibility included with a sponsorship tier (for example logo placement, jersey branding, or naming rights) is set out on the relevant Tournament page or in a separate agreement with the Partner. SPOTO does not guarantee a minimum audience, reach or outcome from any sponsorship.

Prize Money for a Tournament is set and funded by the Partner and/or Sponsors, and is displayed on the Tournament page before registration. SPOTO does not guarantee the amount, availability or payment of Prize Money independently of the Partner's and Sponsor's funding.

Prize Money is distributed after the Tournament's final result is confirmed, subject to any verification steps (including KYC, described in the Privacy Policy) required before payout. Distribution timelines depend on the Partner's settlement process and the Platform's payment processing.

Where a Tournament format allows for Prize Money to be distributed directly to individual Players (rather than only to a Team as a whole), each recipient Player must complete any required verification before payout can be released.

Recipients of Prize Money, Tips, Referee payments or other payouts are solely responsible for determining and meeting their own tax obligations under applicable Indian tax law, including any tax deducted at source that SPOTO or a payment provider may be required to withhold.

Audience Members can follow live scores, view Tournament and Match information, take part in free Predictions, and send optional Tips to Players or Teams, where these features are enabled for a given Tournament.

SPOTO's Prediction feature is a free, promotional engagement activity. It does not require an Audience Member to stake, wager or deposit any money, and an incorrect Prediction does not result in any monetary loss. Full mechanics are set out in the separate Prediction Terms page.

Where SPOTO or a Partner offers a promotional reward for Predictions, the reward, eligibility criteria and any limits are described in the Prediction Terms and/or the specific promotion's published rules. Rewards are promotional in nature and not a payout of staked funds, since no funds are staked.

Because the Prediction feature does not involve staking, wagering or depositing money, it does not constitute betting or gambling. SPOTO does not operate the Prediction feature as, and it must not be used as, a real-money gaming or wagering product.

Use of multiple accounts, automated tools, or any method to manipulate Prediction outcomes or reward eligibility is prohibited and may result in disqualification from a promotion and/or account suspension.

A Prediction is resolved against the official Match result as confirmed under Section 21 (Match Results). SPOTO's determination of the result for Prediction purposes is based on the confirmed Match result available on the Platform.

Audience Members may voluntarily send a Tip to a Player or Team where this feature is enabled. A Tip is a voluntary gesture of support and is not a payment for any match outcome, Referee decision, tournament advantage, playing opportunity, or guaranteed performance. Full terms are set out in the separate Tipping page.

Tip transactions are processed through the Platform's payment gateway. Successful Tips are generally non-refundable, except in the limited circumstances described in the Refund & Cancellation Policy (for example, failed transactions, technical errors or fraud).

All Users agree to act honestly and in good faith, to follow the rules of their sport and Tournament, and not to engage in match-fixing, doping, harassment, or abusive conduct towards other Users, Referees or Partners.

You retain ownership of content you submit to the Platform (such as profile photos, team logos or comments), but you grant SPOTO a licence to host, display and distribute that content as necessary to operate the Platform. You must not upload content that is unlawful, infringing, defamatory or that you do not have the right to share.

The SPOTO name, logo, app design and underlying software are the intellectual property of Transkwik Private Limited and/or its licensors. Nothing in these Terms grants you any right to use SPOTO's trademarks or branding except as expressly permitted.

The Platform may link to or integrate with third-party services, including payment gateways, mapping services and analytics providers. SPOTO is not responsible for the content, policies or practices of third-party services, which are governed by their own terms.

SPOTO may suspend an account where there is a reasonable basis to believe these Terms have been violated, including suspected fraud, fixture or result manipulation, abusive conduct, or non-payment of fees, pending investigation.

SPOTO may terminate an account for confirmed violations of these Terms. You may also close your own account at any time; see the Account Deletion page for how to request deletion of your account and associated personal information.

Account deletion requests are handled as described on the dedicated Account Deletion page, including the categories of information SPOTO may need to retain after deletion for legal, tax, accounting, fraud-prevention or dispute-resolution purposes.

The Platform is provided on an "as is" and "as available" basis. Transkwik Private Limited does not guarantee uninterrupted or error-free operation of the Platform, the accuracy of every user-submitted score or result, or any specific sponsorship, Tournament participation level, or Prize Money amount beyond what the responsible Partner or Sponsor has actually funded.

To the maximum extent permitted by applicable Indian law, Transkwik Private Limited shall not be liable for indirect, incidental or consequential losses arising from use of the Platform, including losses arising from a Partner's cancellation of a Tournament, a Referee's non-attendance, or inaccurate live-score reporting by a third party. This does not limit any liability that cannot lawfully be excluded.

You agree to indemnify and hold Transkwik Private Limited harmless from claims, damages or expenses arising from your breach of these Terms, your violation of any law, or your infringement of any third-party right in connection with your use of the Platform.

These Terms are governed by the laws of India. Subject to applicable law, the courts at Hyderabad, Telangana shall have jurisdiction over disputes arising out of or relating to these Terms.

Transkwik Private Limited shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including natural disasters, government action, internet or telecommunications failures, or payment-provider outages.

SPOTO may update these Terms from time to time to reflect changes to the Platform or applicable law. Material changes will be notified through the Platform or by email, and the "Last Updated" date at the top of this page will be revised. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
